1. Acceptance of Terms

By accessing and using the services provided by 044 AI LAB OÜ ("Company," "we," "our," or "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Company Information

044 AI LAB OÜ is a limited liability company registered in Estonia with registration number 16739552. Our registered address is Harju maakond, Tallinn, Kesklinna linnaosa, Vesivärava tn 50-201, 10152, Estonia.

3. Services

We provide computer programming services including but not limited to:

• Custom software development
• Artificial intelligence and machine learning solutions
• Technology consulting
• System integration and maintenance
• Quality assurance and testing

4. Client Obligations

As a client, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond promptly to requests for feedback and approvals
• Make timely payments according to agreed terms
• Comply with all applicable laws and regulations
• Respect intellectual property rights

5. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Invoices are payable within 30 days of issue
• Late payments may incur interest charges
• Project work may be suspended for overdue payments
• All prices are exclusive of applicable taxes

6. Intellectual Property

Upon full payment, clients will receive ownership of custom-developed software created specifically for their project. However:

• We retain rights to general methodologies and know-how
• Third-party software components remain subject to their respective licenses
• We may use project experience for future development (without disclosing confidential information)

7. Confidentiality

We are committed to maintaining the confidentiality of client information and will not disclose confidential information to third parties without explicit consent, except as required by law.

8. Warranties and Disclaimers

We provide services with professional care and skill. However:

• Software is provided "as is" without warranties beyond those specified in project agreements
• We do not guarantee uninterrupted or error-free operation
• Client is responsible for data backup and security
• We are not liable for indirect or consequential damages

9. Limitation of Liability

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

10. Termination

Either party may terminate a project agreement with written notice. In case of termination:

• Client pays for work completed up to termination date
• We will provide deliverables for completed work phases
• Confidentiality obligations continue after termination

11. Governing Law

These Terms are governed by Estonian law. Any disputes will be resolved through Estonian courts or through arbitration as agreed by both parties.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government actions, or technical failures.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of new terms.
